1. Scope
Professional services include migrations, architecture, consulting, configuration, security remediation and other work identified in a quote or statement of work.
2. Statement of work
The SOW defines deliverables, assumptions, dependencies, schedule, fees and acceptance. If it conflicts with general terms on a project-specific matter, the signed SOW controls.
3. Customer dependencies
Timelines depend on timely access, approvals, credentials, backups and third-party cooperation. Missing dependencies may affect schedule and cost.
4. Change control
Material scope changes require written approval and may change fees or dates.
5. Acceptance
Deliverables are accepted according to the SOW or, if none is stated, when delivered and materially conforming to agreed scope.
6. Intellectual property
Each party retains pre-existing IP. Rights in custom deliverables are defined in the SOW; reusable know-how, tools and general methods remain with their original owner unless expressly assigned.
7. Standard
Professional services will be performed with reasonable care and skill, subject to any additional warranty in the SOW and mandatory law.
